Billionaire Shiv Nadar Gifts 47% Stake In These Two HCL Firms To Daughter Roshni Nadar - Details

Billionaire industrialist Shiv Nadar has transferred 47% of his shareholding in HCL Corporation and Vama Sundari Investments (Delhi) Pvt Ltd (VSIPL) to his daughter, Roshni Nadar Malhotra, through gift deeds executed on March 6, 2025.

The transaction was formally disclosed to the National Stock Exchange (NSE) on March 7, 2025.

“This is to inform you that the Company has received today (March 6, 2025) at 4:06 P.M.(IST) an intimation under Regulation 30A of the SEBI LODR regarding the Gift Deeds executed on March 6, 2025”, as per exchange filing.

Strategic Succession Planning

Before the transfer, Shiv Nadar held a 51% stake, while Roshni owned 10.33% in both entities. Post-transfer, Roshni’s stake has risen to 57.33%, while Shiv Nadar’s has declined to 4%. The move is part of a succession plan aimed at ensuring stability and continuity within the HCL Group.

“Gift Deeds have been executed pursuant to a private family arrangement intended to streamline succession, which would ensure continuity of ownership and control by Mr. Shiv Nadar Family (promoter family) and would provide desired stability to the Company”, the filing read.

The Securities and Exchange Board of India (SEBI) granted Roshni an exemption from making an open offer, facilitating the smooth transfer.

Roshni Nadar Malhotra, an MBA in Social Enterprise and a media graduate, has been instrumental in HCL’s global expansion, particularly in Australia and New Zealand. Beyond business, she leads philanthropic efforts through the Shiv Nadar Foundation and conservation initiatives via The Habitats Trust.
