N Chandrasekaran did not decide to leave Tata Sons all of a sudden. The decision came after many months of disagreement inside the company's board. Reports say the main reason was a conflict between him and Noel Tata, who is the Chairman of Tata Trusts.
The extension that got stuck
Two big trusts control most of Tata Sons - Sir Dorabji Tata Trust and Sir Ratan Tata Trust. Both trusts agreed, without disagreement, that Chandrasekaran should serve five more years as Chairman. A Tata Sons committee also approved this idea. It was then placed in front of the full board on February 24, 2026.
But the board did not pass it. One board member did not agree with giving Chandrasekaran another term. Since the decision needed everyone to agree, and this one member said no, Chandrasekaran decided to wait rather than force the matter. He did not say publicly who this board member was.
What this had to do with Noel Tata
Several reports say the disagreement was linked to Noel Tata. He became head of Tata Trusts in 2024, after Ratan Tata passed away. According to these reports, Noel Tata wanted clear answers on a few things before agreeing to give Chandrasekaran another term. These included: a clear five-year plan for the Tata Group, a plan to deal with losses in some newer businesses, and a way to let the Shapoorji Pallonji Group exit its stake in Tata Sons without the company having to go public.

Even with this disagreement, the board did not stop working together. In a board meeting in May, people who know about the discussions said things went smoothly. Noel Tata looked after certain businesses like Air India and BigBasket, while Chandrasekaran continued to review the rest of the group's companies.
Six months with no answer
Still, even after this meeting, no final decision was made. Chandrasekaran said that Tata Sons is a very large company with many important projects underway. He said that not knowing who would lead the company was becoming a problem, not just for future planning, but also for the confidence of workers, investors, and business partners.

After waiting six months with no solution, Chandrasekaran told the board on August 12 that he would not ask for another term. His current term ends on February 20, 2027. He also asked the board to quickly choose the next leader so the change happens smoothly.
A situation similar to the past
This is not the first time Tata Sons has gone through a difficult leadership change. When Chandrasekaran himself became Chairman in 2017, it was also after a messy period. His predecessor, Cyrus Mistry, was removed from the post after a public conflict with then-Chairman Ratan Tata.
Now, almost ten years later, Tata Sons is once again dealing with a leadership change. The company has until February 2027 to choose someone new, and so far, no name has been announced.
