Tata Trusts has called the resolution “illegal” and a “legal nullity,” arguing that Tata Sons’ Articles of Association require support from a majority of Tata Trusts’ nominee directors for the appointment or reappointment of the Chairman. The Trusts maintain that Chandrasekaran’s earlier decision not to seek a new term after February 20, 2027, was already accepted and final.

The dispute now shifts attention to the adjourned Tata Sons AGM, where Chandrasekaran’s continuation as a director may require shareholder approval. Tata Trusts collectively own about 66% of Tata Sons, making the AGM, succession process, RBI-compliance route and potential Tata Sons listing key flashpoints in the battle ahead.
